TRUST, the Code informs us is Kraft's most "ESSENTIAL" VALUE:

LETTER OF COMPLAINT IS SENT TO TAKEOVER PANEL

It appears that Kraft have breached section 19.1 and 19.3 of the Takeover Code. A letter of complaint has been sent to the Panel. We all await the outcome.

KRAFT TO ATTEND HEARING OF SELECT COMMITTEE

On Tuesday 16th March Kraft are to attend a Select Committee hearing concerning their conduct (pledges made) during the Takeover.

ON 5th FEBRUARY 2010 IRENE ROSENFELD, KRAFT'S CEO - EXCUSIVE INTERVIEW TO ALLAY FEARS OVER JOB LOSSES

Irene Rosenfeld, Kraft's CEO, told the Times in an exclusive interview, after a Town Hall meeting in Illinois, where Cadbury employees listened via a web link:-
Kraft Foods is planning a significant expansion of its manufacturing base in the UK in the wake of its takeover of Cadburys.

Kraft planned to start manufacturing more of its global brands in the UK as it completes its integration with Cadbury over the next 6 months.
Irene Rosenfeld said, "Manufacturing jobs in the UK will be very important to the combined company." She followed this with, "Kraft Foods today only has 1 factory in the UK - that's our Banbury facility. As we look at the profile of the combined company we are going to need more manufacturing capability within the UK. It's for that reason that I feel strongly that the UK will be a net beneficiary within the manufacturing sector."

On 8th February, just 3 days after Kraft were allaying fears of Cadbury job losses, a Kraft Director was assuring Unite the Union that Kraft had NOT made a decision yet as to the future of Somerdale. The Kraft Director told the Union that when a decision had been made, Unite would be the 1st to know.

AT THE SAME TIME as the Kraft Director was delivering his speech to Unite some 50 miles away, Cadbury/Kraft Senior Managers were entering Somerdale through the rear of the building. They had come to deliver the statement that Kraft was CLOSING SOMERDALE.

KRAFT INSISTS IT IS ALL ABOUT .........."COMUNICATION, COMUNICATION, COMUNICATION."

 

Kraft sent into Somerdale 2 of the ‘old'Cadbury managers. Sneaking in through the back door they came with news............

 

They told the Somerdale managers, "Somerdale is closing, tell all employees on site before 16.30pm".

The UK Kraft Director could NOT be bothered, to personally, travel the 40 miles from Kraft H/O in Cheltenham to the Somerdale factory to spread the ‘grand'news to the Somerdale employees that............... they are all sacked.

Thanks to the Cadbury Board Somerdale is a sinking ship, however, there is now a life boat on the horizon. With forward positive thinking and actions, Somerdale could be saved from closure and a halt in production moving to Poland.

 

The production and profit figures from Somerdale would in itself keep the factory afloat.

 

The Somerdale employees' dedication in their work would keep it afloat.

 

BUT, have the Cadbury Board done too much damage for Kraft to be able to keep Cadbury chocolate production at Somerdale in Great Britain?

 

Hershey's were interested in Cadbury, or so we were all led to believe. Well, there's a factory the Cadbury Board had built in Poland that could be up for sale! Hershey's and Kraft could possibly come to some agreement on a price.............

 

The Polish Government has supported Cadburys in Poland by giving them huge amounts of money for them to invest.......... in Poland.

 

If the Government now wants to speak out in defence of Cadbury jobs, (see letter to Lord Mandelson) then it is now time for the British Government, the very same ones who allowed the Cadbury Board to take away our Cadbury factory in the first place, to give support and assistance to help Kraft keep to their words of intention for investment in Somerdale.

 

The Government, the National Union, Cadbury employees and the great British public along with Kraft all need to pull together to achieve what we all want and that is to ‘KEEP CADBURY CHOCOLATE MANUFACTURING IN GREAT BRITAIN, where it belongs and has been for 282 years.

CADBURY BOARD'S FAILINGS ALLOW TAKEOVER

 

The Cadbury Boards persistent bad management decisions have finally led to a takeover.

 

The Board also knew exactly what they were doing by pushing for the demerger of the confectionary and beverages divisions, making Cadburys a prime target for a takeover. The Cadbury Board soon chose amongst themselves to remunerate their monies.

 

It soon became, not a matter of IF, but WHEN, a takeover would take place.

 

Should therefore, a company be blamed for picking up on the various management decisions that have cost Cadburys dearly, and for noticing the fact that, although Cadburys make good profits, if managed better, Cadburys could deliver far greater profits?

 

Kraft in the end were the only group interested in Cadburys, and, having done some ‘financial homework', picked up on the fact that to relocate Somerdale to Poland, knowing that every year Somerdale far exceeds expectations and excels with production, was possibly the worst decision to date.

 

Under the current Cadbury Board, Somerdale IS CLOSING.

THE CADBURY BOARD ARE THE GUILTY PARTY IN THE TAKEOVER

 

The last Cadbury family member stepped down from the Board in 2000. This family (as was Frys') was famous for their strong values, their respect for their British employees and the British public/consumers. Over the past 10 years, the ‘present' Board, without a Cadbury family member on it, has made many bad decisions. To name just a few.............

 

The Closing of 3 British factories.

 

NOT investing long term in Cadburys British manufacturing, subjecting the British public to Salmonella scares. This cost Cadburys in many ways - millions of £s were lost through having to recall millions of bars of chocolate, a costly court case and damage to the brand name.

 

It also resulted in the closure of the highly productive and profitable chocolate making plant in Bristol (feeding Somerdale, Bournville and France) and led to it being outsourced.

 

Fraud in Nigeria cost Cadburys mega millions.

 

Bad financial investments - in Russia and China.

 

Not knowing when to ‘stop' - Buying factories outside Britain that continue to burden Cadburys with huge debts.

 

Using ‘cost -cutting - an excuse to get in a ‘race to the bottom' for the cheapest ingredients. In China, Cadbury recalled their products for fear of the chocolate containing milk with melamine in - more health scares and financial damage.

 

Dishonouring the Cadbury name - a trusted name in New Zealand, where Cadburys swapped cocoa butter for palm oil - damaging the environment, decreasing quality and found to contain higher saturated fats. This triggered an on line petition, boycott and the taking off shelves of Cadbury products. At the same time Cadburys reduced the bars by 50g which didn't go unnoticed either - more embarrassment and financial damage.

 

Not supporting British chocolate manufacturing by relocating the productive and profitable Cadbury Somerdale chocolate making factory to Poland - Arguably the worst decision.

 

As 98% of all chocolate produced at Somerdale is consumed by the great British public, every single bar produced in Poland would need to be transported 1,200 miles per trip back to the Motherland. That's 7million extra food miles per year, the unnecessary plundering of resources, the irreparable damage by way of the carbon footprint and ever increasing fuel costs. Inflation rates, currency exchange rates and the ever increasing cost of the Polish factory have shown this venture to be a total financial disaster.

 

The loss of Cadburys British manufacturing jobs - 500 from Somerdale and 200 from Bournville along with thousands of indirect jobs all relating to the closure of the Cadbury Somerdale site and its ‘relocation' to Poland.

 

The relocation of the production of Milk Tray - from Bournville, to Poland,, which happened over a year ago and ahead of the 11 lines of Cadbury chocolate from Somerdale.

 

Not acknowledging that British employees make more money per head than European employees -

 

£102,500 per European employee v £222,631 per U.K and Ireland employees. However, British jobs are being lost to Poland under the current Cadbury Boards reign.

 

Outsourcing of British Cadbury jobs - Johnsons Group have been taking over Cadbury jobs so even the Cadbury employees are no longer Cadbury employees.

January 16th 2010 Cadburys v Kraft

 

Dear Lord Mandelson,

 

In the case of Kraft's bid for Cadburys you made the statement that you would appose asset stripping and that Kraft must be honourable, respect the company, its workforce and legacy. You have promised to speak out in defence of Cadbury workers if jobs were threatened. Meanwhile the Prime Minister has said that although he is not apposed to a Kraft take over he wants to keep the work force in business.

 

I have been corresponding for over 2 years with the Prime Minister and various Government departments over the closure by Cadburys of the Somerdale chocolate manufacturing company in Bristol (since 1728). Cadburys have always been asset strippers. Cadburys have closed 3 British factories in the last 10 years.

 

On 3rd October 2007 Cadburys announced yet another closure, this time of the productive and profitable Somerdale factory in Bristol. In September the Cadbury Board met with members of the Bath and North East Somerset council (BANES) where they discussed the sale of a small area of Somerdale land for the development of 60 houses with the agreement that money from the sale of the land would be invested back into the Somerdale factory. Cadburys assured BANES that this was all they wanted to do and that it would not lead to anything else, more houses or even worse a factory closure. Less than 3 weeks later came the announcement by Cadburys of the Somerdale closure. All 11 lines of arguably some of the British publics' favourite chocolate, Crunchie, Fry's Cream, Double Decker, Freddos, Chomp, Picnic, Fudge, Curly Wurly, Fry's Turkish Delight, Caramel, Mini Eggs, were to be relocated for production in Poland. As 98% of all chocolate produced at Somerdale is consumed by the British public ALL chocolate would need to be transported 1,200 per trip back to the Motherland.

 

The responses from various Government departmentshave beenboth disturbing and alarming. In response to letters sent to BERR, (now BIS), I quote, "We must accept that we operate in an increasingly, globalised competitive environment and that, as most agree, the UK government should not seek protectionist measures which would only serve to impede growth potential of the global economy."

 

"Openness to investment, including through mergers and takeovers, are an inherent feature of a modern economy and an important driver of growth and innovation."

 

"Whilst it might be tempting to try to intervene to restrict offshoring to keep jobs in the U.K, we need to recognize that whilst this might work in the short term, it risks undermining firms' competitiveness and this is likely to cost jobs in the long run. This is backed up by evidence. Studies of offshoring suggest that it hasn't reduced overall U.K employment, although of course there are often negative impacts on the local communities that are involved."

 

It is a fact that Kraft has stated sincerely their positive intentions in the retention and growth in British manufacturing.

 

So thatthe British public to be clear about your commitment..........

 

Do your words of defence for the Cadbury workers jobs only apply to any company which takes them over?

 

In other words, the UK Government will not protect British jobs if Cadburys choose to close their factories and get rid of their workforce themselves BUT The UK Government will protect Cadbury jobs if another company buys them.

Where's Cadbury Board American millionaire Chief Executive Todd Stitzer?

 

Well known for persistently having his say and strutting his stuff on T.V in the media limelight, Cadburys American Mr Stitzer has disappeared............

 

Up has popped the Cadbury Chairman, with his convenient British accent.

 

Surely he's not hiding away because he is American, and Cadburys are trying to encourage the British public to turn against the American Kraft bid.

 

American Mr Stitzer shouldn't be skulking in dark corners; he should be out in the open explaining to the British consumer why he dumping on them by closing the Somerdale factory and relocating it to Poland. He should be explaining why he is closing it when it is both highly productive and profitable and serves ONLY the British public. Picnic, Frys Turkish Delight, Freddos, Caramel, Fudge, Chomp, Frys Cream Bar, Double Decker, Crunchie, Curly Wurly and Mini Eggs are being taken from Great Britain.

 

Cadburys and ONLY Cadburys are doing this to the British public -NO ONE ELSE.

 

American Mr Stitzer should stop hiding, get out here and face the British public......... See if the British people think you should continue to do just as you please while you use the excuse of being a British company. If that's being British, we are all doomed!

 

Worried that your Cadburys chocolate will taste different once it's made in Poland?...... Prepare yourselves.............

 

Ingredients, including water, Yes..... WATER are being sent over from Poland to be tested and incorporated into, arguably your favourite Cadbury bars. This preparation will enable the Cadbury Board to tell YOU, the trusting British consumer, that the Cadbury chocolate produced in Poland doesn't taste any different from when it was made in England. Nice one Cadburys..... change it before it even gets to be made in Poland!

 

Keep it British.

 

Left in the Cadbury Boards hands Somerdale WILL close.

 

This will mean:-

 

Crunchie, Fry's Turkish Delight, Caramel, Freddos, Double Decker, Fudge, Fry's Crème, Curly Wurly, Chomp and Mini Eggs will no longer be made in Britain but in Poland.Expectant Share holders will not receive the best returns as profits will not reach their potential.

 

Unnecessary, irreparable environmental damage will be caused through bringing ALL chocolate back 1,200 miles to the Motherland, Great Britain for sole British consumption.

 

Kraft WILL keep production at Somerdale and at source for the British public.

 

This will mean:-

 

Much greater profits for the Shareholders.

 

All important jobs will remain in the U.K where they belong.

 

The British public will be safe in the knowledge that the U.Ks tight food regulations will keep their chocolate made where and how they want and expect.

 

Security in the knowledge that the irreparable damage, caused by transportation bringing ALL chocolate produced in Poland back to the Motherland, Great Britain will not happen.

 

Are Cadburys and Kraft Tweedle Dum and Tweedle Dee? Or... Chalk and Cheese?!

 

Cadburys - Factory in Bristol (Somerdale) was bought from Fry's (established in 1728).

Kraft - Forté, Colgate-Palmolive, United Biscuits and Philip Morris all had a go at running Terry's but eventually it was sold to Kraft in 1993 (and amalgamated with Jacobs Suchard).

 

Cadburys - Announced closure of Somerdale factory and relocation of production to Poland (October 2007)

 

Kraft - Announced closure of York factory (April 2002) and production to Eastern Europe.

 

Cadburys - The land Somerdale is situated on was singled out by The Cadbury Board (with the factory raised to the ground) for potential housing - The land is however 80% flood plain. There have been and still are NO developers interested.

 

Kraft - The York site created a potentially lucrative development opportunity next to York racecourse (Royal Ascot). 100 developers have shown an interest.

 

Cadburys - Unions proposed a smaller, cost-effective and environmentally efficient plant on the Somerdale land where the back half of the factory (pulled down many years ago) once stood.

 

Kraft - Unions proposed a move to a smaller, more cost-effective plant in the city.

 

Cadburys - Chief Executive Todd Stitzer is American. The last Cadbury family member (British) stepped down from the Board in 2000.

 

Kraft - Chief Executive Irene Rosenfeld is American.

 

That was Tweedle Dum and Tweedle Dee, now comes the Chalk and Cheese................

 

Kraft - Terry's reported a decline in export volumes, York (2002) - resulting in profit losses.

 

Cadburys - Report each year excellent figures both for production and profit at Somerdale. (U.K and Ireland Cadbury employees make far greater profits head for head than European employees).

 

Kraft - In 2002 the £ was strong against the Euro - helping to fuel the move to Europe (Cost).

 

Cadburys - In 2007 the £ was fast loosing strength against the Euro. Now in 2009 £ and Euro are almost identical - fuelling the need for production to stay in the U.K(Cost).

 

Kraft - Terrys chocolate is exported as well as consumed here in the U.K.

 

Cadburys - 98% of ALL chocolate produced at Somerdale stays HERE and is consumed SOLELY by the British people.

 

Diary of Kraft bid for Cadburys (£9.8 billion).
Kraft Foods launched its formal cash and shares bid for Cadbury earlier this week triggering a takeover timetable based on rules which apply to any situation involving a British target.Kraft has up to 28 days from the day that it launched its formal bid on November 9 to issue a formal bid document for Cadbury. This gives Kraft up to December 7 to post the document to Cadbury's shareholders.
The day when the formal offer document is posted to Cadbury shareholders will become Day 1 in the formal 60-day timetable under UK takeover rules.
Other key dates on a calendar basis, which counts both weekends and national holidays, are:
Day 14 - This is the last day by which the board of the target company (Cadbury) has to publish its views on the bid, known as the "Defense Document."
Day 21 - The first closing date, the minimum period for which an offer must be open.
Day 39 - The last date for the target (Cadbury) to publish new information, such as a profit forecast, the disposal of a major subsidiary or a defensive acquisition with which to justify claims the offer "undervalues the company."
Day 46 - This is the last date for raising the offer (by Kraft). The bidder can increase its offer as many times as it likes up until this day, but not lower it.
Day 60 - The day by which acceptances have to be in to count toward the 50.01 percent needed to win.In friendly deals, the UK Takeover Panel may be prepared to extend this 60-day deadline if it is asked to do so by the board of the target company
NOTE - A new bidder can enter the fray at any time up to Day 60, but then the 60-day clock goes back to zero.
On November 9, Kraft launched its formal offer of 300p in cash and 0.2589 new Kraft shares for each Cadbury hare, which at the time valued Cadbury shares at 717p or 9.8 billion pounds ($16.3 billion).

 

Cadburys win Polish award...... Come on Mr. Brown - Wake up and smell the chocolate!

 

Let's give Cadburys an award for KEEPING 281 years of PROFITABLE BRITISH industry HERE in its birthplace GREAT BRITAIN! The Polish Foreign Investment Agency gave Cadburys an award for being Poland's biggest investor in 2008.

 

BUT...........

 

Chocolate making is ‘ours'! It began in Bristol in 1728! It's PROFITABLE and is consumed SOLEY by the British public! So...... Why is our government not encouraging our 281 year old PROFITABLE industry to stay here in its birthplace Great Britain?Why isn't our government giving encouragement for our oldest PROFITABLE industry to keep BRITISH JOBS? Why is the government not putting into place HUGE taxes for PROFITBLE industries who abandon Great Britain only to return ALL relocated produce BACK to the MOTHERLAND Great Britain?

 

And Why are the British public being told to reduce carbon emissions and reduce the use of precious resources, WHILE AT THE SAME TIME the government are giving the GREEN LIGHT to Cadburys who will be causing irreparable damage from unnecessary transportation emissions (1,200 miles per bar of chocolate) far out weighing British peoples savings?

 

No expense spared !!!! as Cadburys unveil their ‘vision' for the abandoned Somerdale site in Keynsham , Bristol

 

Cadburys gave an exhibition of their ‘vision' of what the land, on which the Somerdale chocolate factory has stood for 90 years, could look like after Cadburys have abandoned production there for production in Poland 1,200 miles away. Cadburys kept the ‘vision' as low key as possible wanting no media coverage - there were no posters in the local shops, no leaflets or other information only a very small ad in the local paper. The whole fact that it was being kept hush - hush concerned the public and the fact that Cadburys would see fit to make such comments as ‘Not many people turned up which shows the people of Keynsham are not interested, or ‘Some people turned up but didn't show any interest.' However, in a small dark room along a corridor at the back of a local church the ‘vision' was unveiled, but being as clear as mud it soon provoked negative comments. Some printable quotes... .. "The Cadbury Vision was far too vague and complete rubbish when referring to the needs of the younger generation, of which I am one"."Exhibition poorly set up, not well presented and not sufficiently informative". "For such a big and profitable company the exhibition of ‘vision' was cheap, tacky and lacked depth" An alternative ‘vision' by the Keynsham Community was shown outside the church accompanied by a picture of a ‘New Build' single storey, low carbon state of the art Cadbury factory along with 4 questions and comment sheets for all to openly use.

 

The questions were:
A) Do you agree with the Cadbury ‘vision'?
B) Do you think the town of Keynsham and the people of Keynsham have been fully considered with the Cadbury ‘vision'?
C) Would you like to see a Cadbury ‘New Build' at Somerdale?
D) Would you like to bring people to Keynsham by having a ‘Cadbury World' ( depicting chocolate making since its birth in Bristol 1728 through to modern day) and possibly a ‘home' for the Roman remains treasures at Somerdale (where the 2nd largest findings in G.B are kept out of sight having nowhere to display them)?

 

The Response was: A) 6% B) Less than 1% C) 99% D) 98%

 

The Community survey results were available within 12 hours.

Christmas Credit Crunchie Heroes.

The British consumer searched and searched in their Christmas Heroes boxes for their much loved Crunchie and Dream white chocolate minis, only to find they had been replaced by miniature miss shaped eclair sweets. Complaints rolled in from dissatisfied loyal consumers, only to be told by Cadburys, "It's a cost cutting excercise". Which translated means - 'This is how it's going to be with Cadburys chocolate from now on - So Tough!

 

 

Keeping the Olympic torch burning for GREAT BRITAIN....... or POLAND.

 

Cadburys have been confirmed as a ‘tier two' supporter of the 2012 British Olympics. This is a level that costs sponsors between £20m and £40m enabling them to be the sole supplier of chocolate. Bearing in mind by 2010 your favourite chocolate bars will be made in POLAND 1,200 miles away.Cadburys think that the British are only good for eating the chocolate NOT producing it; after all, 95% of chocolate produced HERE is consumed by you, the British public. Taking this into account, with Cadburys choice of abandoning Britain, for your best loved chocolate bars to be produced in Poland, the British public could be excused for thinking that Cadbury will be sponsoring the Polish teams.......Cadburys will be condoning the unnecessary plundering of precious resources and will cause irreparable damage to our environment through excessive emissions in transportation.ALL chocolate relocated for production in Poland will need to be returned 1,200 miles to the Motherland to YOU the British consumer, the Olympic athletes and world wide visitors.Britain wants to be seen world wide as leaders in caring for our planet and expects other countries to follow suit. How EMBARRASSING to accept sponsorship from a British company driven by greed that will be negating Britain's calls for other countries to reduce carbon emissions and save precious resources.With the eyes of the world on Great Britain in the run up to, and during, the London Olympics these double standards will be blatantly obvious as Great Britain condones this destructive act in the name of Cadbury ‘fat cat' greed.

The values Cadburys want the British public to believe they still adhere to are the ones striven for over hundreds of years, founded by Quakers (i.e. care, consideration and respect for employees, community and environment). However, since the last Cadbury family member stepped down from the Board of Directors in 2000 American and British millionaires have taken over and have replaced true values with blind greed. There is no sense in the relocation to Poland when the Bristol factory is definitely performance driven. This is shown as production at the Bristol factory they want relocated to Poland, hits HUGE profits and greatly exceeds targets........ yet AGAIN.

 

A Cadbury spokesperson says, "It would be odd... to find only chocolate from foreign companies at the venue." Not as odd as having the sole supplier of British chocolate returning its produce 1,200 miles HOME to the Motherland having been produced in a foreign country, POLAND. If Cadburys insist on supplying British chocolate at the British Olympics, at least keep it made at source, as it has been for 280 years,in the country of its origin, Great Britain.

 

 

Cadburys are once again recalling their products

 

11 of Cadburys products have been recalled at the Beijing factory, China after Dairy Milk was found to contain melamine, the chemical in the toxic baby milk scandal. The' race to the bottom' whether it is for wages or supplies, especially when it involves the health of the consumers is not the way Cadburys should be going.

 

KEEP CADBURYS in KEYNSHAM, GREAT BRITAIN where our British Dairy Farmers don't do melamine.

 

While no one's looking.....

 

During the summer factory shutdown at the Keynsham factory, whilst the employees took their summer break, CADBURY CHOCOLATE COVERED NUTS were de listed. These chocolates will NOT be made any more.

 

The 1st chocolate to be taken from Great Britain to be produced in Poland, from the Keynsham factory will be ‘bagging'. These are Tasters, Crunchie Nuggets. Predicted date in March 2009.This is just the start, the other bars made at the Keynsham factory will quickly follow suit. Mini Eggs are being sighted for the next possible relocation (16th April) although Cadburys ha ve yet to set a time line for when and which order the rest of the chocolate is leaving Great Britain for Poland. Some bars may even become extinct along with the chocolate covered nuts.
